Remote from any KP location in CA, OR, CO, WA, GA, MD, VA, HI or D.C. Only. 
** PLEASE NOTE: Salary ranges are geographically based and the posted range reflects the Northen CA region. Lower salary ranges will apply for other labor markets outside of NCAL


Job Summary:

Provides strategic counsel and advice on, and assesses legal risk related to, mergers, acquisitions, joint ventures and other strategic and complex corporate transactionsimpacting KP business and/or clinical operations, creating innovative solutions. Conducts legal research, interprets laws and rules, and regulations, andconducts and oversees due diligence by applying expert knowledge of legal principles. Preparing, drafting, creating, and reviewing training materials of legal documents and leading others, and providing expert actionable feedback to clients and other legal professionals.



Essential Responsibilities:





    • Promotes learning in others by communicating information and providing advice to drive projects forward; builds collaborative, cross-functional relationships.   • Drives the execution of multiple work streams by identifying member and operational needs; translates business strategy into actionable business requirements; develops and updates new procedures and policies. Gains cross-functional support for objectives and priorities; determines and carries out processes and methodologies; solves highly complex issues; escalates and resolves issues as appropriate; sets standards and measures progress. Develops work plans to meet business priorities and deadlines; coordinates, obtains and distributes resources. Removes obstacles that impact performance; guides performance and develops contingency plans accordingly; influences the completion of project tasks by others.

  • Participates in the creation and review of legal documents by: preparing, drafting, creating, and reviewing transaction agreements, complex written legal advice, contracts, policies and procedures, and other documents, as needed; and leading others and providing expert actionable guidance to clients and other legal professionals (e.g., legal counsel, paralegals, and legal assistants).

  • Performs and analyzes legal research by: leveraging expert knowledge to gather, interpret, and review legal documents (e.g., contracts, memoranda, and policies); providing general strategic guidance and analyzing judicial decisions as well as statutory/regulatory authority; handling and addressing highly complex research issues including but not limited to federal and state laws, rules, regulations, accreditations standards, and/or other applicable guidance; escalating highly complex strategic guidance to other senior-level attorneys as needed; and identifying and addressing highly complex patterns and trends impacting legal questions or issues and communicating legal research findings, and legal analysis to business stakeholders on complex and/or novel legal questions or issues.

  • Assesses legal risk and/or provides legal guidance by: applying expert knowledge of legal principles, business risks, regulatory landscape, and compliance considerations that have a critical impact on the organization; creating innovative solutions that mitigate legal risks, drive business strategy, and facilitate cost efficiencies; overseeing and actively participating in the legal due diligence of proposed strategic or corporate transactions; providing legal advice, risk assessments and/or case recommendations to senior business leadership; consulting, managing, and overseeing outside counsel on legal matters; and managing and providing guidance to junior-level attorneys and other legal professionals.

  • Contributes to legal planning and strategy by: providing and driving general strategic solution on highly complex issues, escalating significant strategic issues as needed; and partnering with others to create product, network, business, and/or clinical strategies as well as preparing responses to regulatory actions (e.g., audits, and enforcement actions).

Minimum Qualifications:

  • Juris Doctorate (JD)or equivalent (e.g., Legum Baccalaureus [LLBs], Legum Magister [LLMs], and Postgraduate Certificate in Laws [PCLLs]) AND minimum eight (8) years of related legal experience as an attorney.

  • Minimum three (3) years of experience in a leadership role (e.g., leading projects, significant matters, and/or workstreams) with or without direct reports.

Preferred Qualifications:
  • Five (5) years of experience in a leadership role (e.g., leading projects, significant matters, and/or workstreams) with or without direct reports.  
  • Two (2) years of experience providing legal advice to executive leadership (e.g., Executive Director level and above) 
  • Four (4) years of experience overseeing and actively participating in the legal due diligence and/or negotiations of proposed strategic or corporate transactions.
